The Paralegal will play a critical role supporting the Legal Department’s processes and projects. The position reports to the Senior Paralegals, and will also support key initiatives (goals) of the department.

Below is an overview of the duties and responsibilities associated with this position:
90% of responsibilities will be to support the Legal Department with matters relating to acquisitions including:
Draft closing documents (asset purchase agreements, promissory notes, employment agreements, and other ancillary documents) and sending for execution;
Review, redline and negotiate revisions to closing documents with opposing counsel and doctors;
Draft additional miscellaneous contracts in connection with acquisitions;
Work collaboratively and cross-functionally with other departments in connection with acquisitions;
Handle post-closing matters and requests such as assembling final executed documents; and
Organize and track documents for acquisitions including: uploading documents, data entry, and maintaining a matter management database for tracking and reporting purposes.
10% of responsibilities will be to assist the Legal Department with a wide variety of additional legal matters including:
General matters/requests received from other departments;
Supporting with employment agreement related requests; and
Special projects such as: PowerPoint presentations, Legal Department reports, and other such projects to support the work of the Legal Department.
Completion of one of the following: five years of paralegal or contract specialist experience with a law firm or in-house; OR an Associate’s Degree and not less than one year of in-house experience as a paralegal or contract specialist; OR Bachelor’s Degree.
Practical knowledge of legal concepts
Strong computer skills, including:
Familiarity with Excel and PowerPoint;
Proficient experience with Microsoft Outlook; and
Advance level of experience using Microsoft Word, including proficient at redlining/tracking changes in Word documents.
Strong organizational skills, accuracy and attention to detail
Ability to maintain proprietary, trade secret and confidential information
Ability to work well under pressure and prioritize multiple tasks
Strong verbal and written communication skills, with high level of maturity, personal initiative, and sound judgment
Ability to work some hybrid: reporting regularly to the Effingham, IL or Creve Coeur, MO office (depending on local assigned Support Center location) and remotely; as needed
Adequate internet service and confidential/private/dedicated workspace for remote work
Ability to spend several weeks in Effingham, IL or Creve Coeur, MO during first three months of employment for in-person training.
Ability to travel to Effingham, IL or Creve Coeur, MO, respectively, during initial training and as needed during course of employment for meetings, special work related events and additional training/ educational opportunities.
Law firm or corporate in-house legal experience
Extensive experience with drafting, reviewing and redlining complex legal agreements
